Terms of Service

By creating a RestauMate account or using our platform you agree to be bound by these Terms of Service (“Terms”). If you are using RestauMate on behalf of a business, you represent that you have authority to bind that business to these Terms.

We reserve the right to update these Terms at any time. Continued use of the platform after changes constitutes acceptance of the new Terms. We will notify you of material changes via email.

RestauMate is a Software-as-a-Service (SaaS) platform that provides restaurant operators with tools including:

• Commission-free online ordering
• White-label restaurant websites
• SMS and email marketing tools
• Loyalty and rewards programs
• Customer management tools
• AI-powered marketing assistance
• Multi-location management
• Analytics and reporting

You must be at least 18 years old and legally authorized to operate a food service business to use RestauMate. You are responsible for maintaining the security of your account credentials and all activity under your account.

You agree to provide accurate and current information when creating your account. RestauMate reserves the right to suspend accounts with false or misleading information.

Subscription Plans: RestauMate offers multiple subscription tiers (Starter, Pro, Growth, Enterprise) with different features and pricing. Plan details are available at restaumate.com/pricing.

Platform Fees: In addition to monthly subscription fees, RestauMate charges a platform fee on each order processed through our system. Starter plan: 5% per order. Pro, Growth, and Enterprise plans: 3% per order. No additional per-order fixed fees apply.

Recurring Billing: Subscriptions are billed monthly or annually in advance. By providing payment information you authorize RestauMate to charge your payment method on a recurring basis through Stripe.

Free Trial: Pro and Growth plans include a 14-day free trial for new accounts. A valid payment method is required. You will be charged at the end of the trial period unless you cancel before the trial ends.

Price Changes: We will provide 30 days notice of any pricing changes via email before they take effect.

Restaurant operators must connect a Stripe account to receive payouts. By connecting Stripe you also agree to Stripe’s Terms of Service at stripe.com/legal.

RestauMate uses Stripe Connect to facilitate payments from customers to restaurant operators. Platform fees are automatically deducted from each transaction before funds are transferred to the restaurant’s Stripe account.

RestauMate is not a payment processor, bank, or money transmitter. All payment processing is performed by Stripe in accordance with applicable financial regulations.

You agree not to use RestauMate to:

• Send unsolicited marketing communications (spam)
• Violate any applicable law or regulation
• Impersonate another person or business
• Collect data in ways that violate privacy laws
• Attempt to reverse engineer or hack our platform
• Use our AI tools to generate false or misleading content
• Resell or sublicense access to the platform

Restaurant operators using RestauMate’s marketing tools are solely responsible for:

• Obtaining legally required consent before sending SMS or email marketing
• Complying with TCPA, CAN-SPAM, CASL, and any other applicable communications law
• Maintaining accurate and current subscriber lists
• Honoring opt-out requests promptly

RestauMate provides technical infrastructure and is not responsible for the content or legality of messages sent by restaurant operators. We reserve the right to suspend accounts that violate these requirements.

RestauMate includes AI-powered tools that generate marketing copy and content suggestions. This content is provided as a starting point only.

Restaurant operators are solely responsible for reviewing, approving, and ensuring the accuracy of all content before it is sent or published. RestauMate makes no warranty regarding the accuracy, completeness, or appropriateness of AI-generated content.

Growth and Enterprise plans support multiple restaurant locations under a single account. The account holder is responsible for all activity across all locations associated with their account.

Each location receives its own ordering subdomain and can be managed independently within the platform.

RestauMate retains all rights to the platform, software, design, and technology. We grant you a limited, non-exclusive, non-transferable license to use the platform during your subscription.

You retain all rights to your restaurant’s content including menu items, descriptions, images, and brand materials you upload to the platform. You grant RestauMate a license to display this content to facilitate your ordering operations.

We aim for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (Stripe, Twilio, Supabase, Vercel), and extraordinary events may cause temporary unavailability.

RestauMate is not liable for lost orders or revenue resulting from platform downtime.

You may cancel your account at any time through the billing dashboard. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods except as described in our Refund Policy.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose legal or reputational risk to RestauMate.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESTAUMATE AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING LOST PROFITS, LOST ORDERS, OR DATA LOSS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO RESTAUMATE IN THE 3 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless RestauMate from any claims, damages, or expenses (including legal fees) arising from your use of the platform, your violation of these Terms, your marketing communications, or your restaurant operations.

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration in Wayne County, Michigan, except that either party may seek injunctive relief in any court of competent jurisdiction.
